These Terms apply to orders placed through any sales channel, including social media, messaging applications, email, websites, online stores, marketplaces, and direct transactions.
By placing an order, making payment, or instructing us to commence work, you agree to these Terms.
1. Services Offered
1.1. Our services may include, but are not limited to:
Marketing and promotional materials.
Social media posts, advertisements, and digital graphics.
Posters, flyers, brochures, and banners.
Menus, business cards, and corporate stationery.
Promotional campaigns and advertising layouts.
Print-ready artwork and production files.
Other graphic design services agreed upon in writing.
1.2. Each order is limited to the specific deliverables, specifications, and services stated in the relevant product listing, quotation, invoice, or written order confirmation.
1.3. Services not expressly included in the agreed scope will be treated as additional work and may incur additional charges.
1.4. We reserve the right to decline projects that are unlawful, infringe third-party rights, or fall outside our capabilities.
2. Order Placement and Confirmation
2.1. Customers may place orders through any sales channel approved by our business.
2.2. An order is confirmed when we accept the order and the required upfront payment has been received.
2.3. Customers must provide accurate project information, design requirements, content, dimensions, branding assets, and other necessary materials.
2.4. We may request clarification or additional information before beginning work.
2.5. Any changes to the original brief after order confirmation may affect the price, scope, and delivery schedule.
2.6. Verbal discussions, direct messages, emails, and other written communications may form part of the project agreement where the agreed scope or changes are sufficiently clear.
3. Pricing and Payment Terms
3.1. All prices are quoted in Malaysian Ringgit (RM), unless expressly stated otherwise.
3.2. 100% upfront payment is required before any design work commences.
3.3. Payment must be made through the payment methods communicated by us or supported by the relevant sales platform.
3.4. We will commence work after payment has been confirmed and the necessary project information has been received.
3.5. Prices cover only the deliverables stated in the agreed package or quotation.
3.6. Additional work, including extra revisions, alternative concepts, additional design sizes, urgent requests, source files, printing, delivery, stock images, and premium licensed assets, may incur additional charges.
3.7. We will communicate any additional charges and obtain your approval before undertaking chargeable additional work.
3.8. We reserve the right to suspend work or withhold final deliverables where an agreed additional payment remains outstanding.
3.9. Customers are responsible for any applicable transaction fees disclosed before payment.
4. Project Timeline and Delivery
4.1. Estimated turnaround times will be stated in the product listing, quotation, or order confirmation.
4.2. Unless otherwise agreed, the turnaround period begins once payment has been received and all required materials and instructions are available.
4.3. Delivery timelines are estimates unless a specific deadline has been expressly confirmed in writing.
4.4. Delays caused by incomplete information, late feedback, changes to the project scope, or circumstances beyond our reasonable control may extend the timeline.
4.5. Digital deliverables will be sent through an agreed delivery channel, such as email, a file-sharing link, or a supported platform.
4.6. Printing and physical delivery are not included unless expressly stated in the purchased package.
4.7. We will make reasonable efforts to notify you of significant delays affecting your project.
5. Revisions and Changes
5.1. Each package includes the revision allowance specified in the relevant product listing or quotation.
5.2. A revision means a reasonable adjustment to an existing design within the original approved brief.
5.3. Customers should submit consolidated feedback for each revision round.
5.4. The following may be considered additional work:
Requesting a new design concept after the initial concept has been developed.
Changing the original brief substantially.
Replacing previously approved text, images, or branding materials.
Requesting additional versions, sizes, or deliverables.
Requesting significant changes after final approval.
5.5. Additional revisions and out-of-scope requests may be charged separately, subject to Customer approval.
5.6. We will not proceed with chargeable additional work without informing the Customer of the applicable charges.
6. Customer Responsibilities
6.1. Customers must provide complete, accurate, and lawful content and materials required for the project.
6.2. Customers are responsible for checking the accuracy of all supplied text, spelling, grammar, prices, dates, contact details, disclaimers, and other factual information.
6.3. Customers must ensure that they own or have permission to use all supplied logos, photographs, illustrations, fonts, trademarks, and other protected materials.
6.4. Customers must review the design proofs and provide feedback or approval within a reasonable period.
6.5. Delayed feedback or missing information may affect the project timeline.
6.6. Customers are responsible for retaining copies of their original materials and delivered files.
6.7. We are not responsible for errors arising from inaccurate information supplied by the Customer that remains uncorrected at final approval, except where applicable law provides otherwise.
7. Cancellation and Refund Policy
7.1. Customers who wish to cancel an order must notify us in writing as soon as possible.
7.2. If cancellation occurs before design work begins, we will assess the appropriate refund, taking into account any applicable platform fees, non-recoverable costs, and legal obligations.
7.3. If cancellation occurs after work has commenced, any refund will be assessed fairly based on the work completed, costs incurred, applicable agreement, and requirements of Malaysian law.
7.4. Once the final deliverables have been completed and supplied, refunds will not ordinarily be provided solely because the Customer has changed their mind or no longer requires the design, subject to applicable statutory rights.
7.5. If we are unable to fulfil an accepted order, we will offer an appropriate resolution, which may include a refund for services not provided.
7.6. Failure to provide feedback, submit materials, or respond to communications does not automatically entitle the Customer to a full refund.
7.7. Nothing in this policy excludes or restricts any rights or remedies that cannot legally be excluded under Malaysian law, including applicable consumer protection rights.
8. Design Approval and Final Delivery
8.1. Design proofs may be provided for review before the final artwork is released.
8.2. Customers must carefully inspect the proofs and communicate any corrections before granting final approval.
8.3. Once approval is given, any further amendments may incur additional charges.
8.4. Final deliverables will be supplied in the formats specified in the purchased package or quotation.
8.5. Editable files, working files, and source files are excluded unless expressly included in the package or separately agreed upon in writing.
8.6. We are not responsible for issues caused by the Customer's subsequent editing, improper file handling, or use of the artwork outside the agreed specifications.
9. Intellectual Property and Ownership
9.1. Upon receipt of full payment, ownership of the final approved design artwork created specifically for the Customer will transfer to the Customer, subject to the limitations in this section and any rights that cannot legally be transferred.
9.2. Before full payment has been received, all rights in the design work remain with us, and the Customer may not use, publish, reproduce, distribute, or commercially exploit the unpaid design without our written permission.
9.3. The ownership transfer applies only to the final approved deliverables expressly included in the order.
9.4. Unless otherwise agreed in writing, ownership transfer does not include:
Unselected concepts and rejected drafts.
Unused design variations.
Our pre-existing templates, tools, methods, and design assets.
Editable source files and working files not included in the package.
Third-party materials subject to separate licence terms.
9.5. Fonts, stock photographs, illustrations, software assets, and other third-party materials remain subject to their respective licence terms. We cannot transfer ownership of rights that belong to another party.
9.6. Customers are responsible for obtaining any additional licences required for their intended use of third-party materials.
9.7. We do not guarantee trademark availability, exclusivity, registration eligibility, or freedom from third-party intellectual property claims unless a separate clearance service is expressly agreed upon.
10. Portfolio and Marketing Rights
10.1. Unless otherwise agreed in writing, we may display completed designs in our portfolio, website, social media accounts, and promotional materials to showcase our services.
10.2. Customers who require confidentiality or wish to prevent public display of their designs must inform us before the project commences so that written arrangements can be made.
10.3. We will respect applicable confidentiality obligations and will not knowingly disclose confidential Customer information contrary to those obligations.
11. Printing and Third-Party Services
11.1. Printing, manufacturing, and delivery services are included only where expressly stated in the package or quotation.
11.2. Where third-party printers or suppliers are involved, their applicable specifications, production requirements, and delivery arrangements may apply.
11.3. Customers are responsible for reviewing the final artwork and confirming that it meets the printer's requirements before authorising production.
11.4. Colours may appear differently across screens, printers, paper stocks, inks, and production methods.
11.5. We are not responsible for delays or defects attributable solely to third-party suppliers or production processes outside our control, except where applicable law provides otherwise.
12. Prohibited Use
12.1. Customers must not use our services to create materials that are unlawful, fraudulent, defamatory, infringing, or intended to facilitate illegal activities.
12.2. We may refuse or discontinue work where there are reasonable grounds to believe that the requested project breaches applicable law or third-party rights.
12.3. Customers remain responsible for the legality of their intended use of the final designs, including compliance with applicable advertising, consumer protection, industry-specific, and intellectual property requirements.
13. Liability and Disclaimer
13.1. We will provide our services with reasonable care and skill.
13.2. To the extent permitted by Malaysian law, we are not responsible for indirect or consequential losses, loss of anticipated profits, loss of business opportunities, or losses arising from matters outside our reasonable control.
13.3. We are not responsible for the Customer's business performance, sales results, advertising performance, or commercial success resulting from the use of the designs.
13.4. Where permitted by law, our total liability arising from a particular project will not exceed the amount paid for the affected services.
13.5. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
14. Privacy and Confidentiality
14.1. We may collect and use Customer information as reasonably necessary to process orders, receive payments, communicate about projects, deliver services, and maintain business records.
14.2. Personal data will be handled in accordance with applicable Malaysian data protection laws and our privacy notice, where applicable.
14.3. Customers should not provide unnecessary sensitive personal information through our sales channels.
14.4. Confidential project information will be handled in accordance with any applicable confidentiality commitments.
15. Force Majeure
15.1. Neither party will be held responsible for a delay or failure caused by circumstances beyond its reasonable control, including natural disasters, major service outages, government restrictions, or other comparable events.
15.2. The affected party will take reasonable steps to minimise disruption and resume performance when reasonably possible.
15.3. If the disruption materially affects the project, both parties will discuss an appropriate adjustment to the delivery timeline or another reasonable solution.
16. Amendments and Termination
16.1. We may update these Terms from time to time. The version applicable to an order will generally be the version in effect when that order is placed, unless otherwise agreed or required by law.
16.2. We may suspend or terminate a project for a material breach of these Terms, unlawful requests, or other substantial grounds, subject to applicable law and any required notice.
16.3. Where a project is terminated, any refund or payment adjustment will be assessed according to the work completed, costs incurred, applicable agreement, and legal requirements.
16.4. Project-specific changes must be agreed upon in writing.
17. Governing Law and Dispute Resolution
17.1. These Terms are governed by the laws of Malaysia.
17.2. Both parties agree to attempt to resolve disputes through good-faith discussions.
17.3. If a dispute cannot be resolved amicably, either party may pursue the remedies available through the appropriate Malaysian courts, tribunals, or other lawful dispute resolution channels.
17.4. Nothing in these Terms prevents a Customer from exercising statutory rights available under Malaysian law.
18. General Provisions
18.1. These Terms, together with the applicable product listing, quotation, invoice, order confirmation, and written project-specific agreements, govern the purchased services.
18.2. If a project-specific written agreement expressly conflicts with these Terms, the agreed project-specific provision will prevail for that project to the extent of the conflict.
18.3. If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
18.4. Failure to enforce a provision does not constitute a waiver of that provision.
CUSTOMER ACCEPTANCE
By placing an order, making payment, or instructing us to begin work, the Customer acknowledges that they have had the opportunity to review these Terms and agrees to be bound by them, subject to applicable law.
